Where do I start?

Starting a Small Business

Register in this order, since each office asks for the papers from the one before. Then keep the yearly renewals in mind.

  1. Register the Business Name or the Company

A sole proprietor registers the business name with the DTI. A partnership, corporation or one person corporation registers with the SEC instead.

  2. Get the Barangay Clearance and the Mayor's Permit

The barangay where the business operates issues a Business Clearance. The city or municipal business permits office then issues the Mayor's Permit. If you rent the space, you will need the lease.

  3. Register With the BIR

Register the business with the BIR office where it is located, get your invoices and books of accounts in order, and note the filing deadlines that apply to you.

  4. Hiring Workers

Register as an employer with SSS, PhilHealth and Pag-IBIG. Pay at least the regional minimum wage, the 13th month pay and the leave the law requires, and give a Certificate of Employment when asked.

  5. Agreements With Partners, Suppliers and Lenders

Put deals in writing: a Memorandum of Agreement with a partner, a Service Agreement with a freelancer, a Promissory Note or Loan Agreement for money borrowed.

Not legal advice. This is general information. For advice on your own situation, consult a lawyer. If you cannot afford one, the Public Attorney's Office (PAO) or an IBP legal aid office may help for free.

Government fees, rules and requirements change, so always check with the office concerned before you go. Last reviewed October 8, 2026.
